1. Acceptance of terms

These Terms of Service (“Terms”) govern your access to and use of wardenaholdings.com (the “Site”), operated by Wardena Venture Holdings (Pvt) Limited (“Wardena”, “we”, “us” or “our”) of 260 Nawala Road, Nawala, Colombo, Sri Lanka. By accessing or using the Site you agree to be bound by these Terms. If you do not agree, please do not use the Site.

2. About this Site

The Site is a corporate, investor-facing website providing information about the Wardena Group, its Construction and Plantation clusters, its heritage companies, leadership, ESG commitments, careers and news. The Site does not sell products or services directly, and nothing on it constitutes an offer of securities or an invitation to invest.

3. Intellectual property

All content on the Site — including text, graphics, logos, trademarks, brand names (including “Wardena” and the marks of Group companies), photographs, videos and design — is owned by or licensed to Wardena and is protected by applicable intellectual property laws. You may view and print pages for personal, non-commercial reference. Any other reproduction, distribution, modification or commercial use requires our prior written consent.

4. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or harmful purpose;
• attempt to gain unauthorised access to the Site, its servers or connected systems;
• introduce viruses, malware or other harmful code;
• scrape, harvest or bulk-extract content or data without permission;
• interfere with or disrupt the Site’s operation or other users’ access; or
• misrepresent your identity or affiliation when contacting us.

5. Information, not advice

Content on the Site is provided for general information only. While we strive for accuracy, figures, awards, company details and other statements may change and are provided without warranty. Nothing on the Site constitutes financial, investment, legal or professional advice, and you should not rely on it as such. Forward-looking statements reflect current expectations and are subject to change without notice.

6. Enquiries and submissions

When you submit an enquiry through the Site, you confirm the information you provide is accurate and that you are entitled to share it. Submitting an enquiry does not create any contractual, advisory or fiduciary relationship between you and Wardena. Unsolicited ideas or proposals are received on a non-confidential basis unless we agree otherwise in writing.

7. Career applications

Applications submitted via the Careers page are handled in accordance with our Privacy Policy. Submitting an application does not guarantee consideration, interview or employment, and role listings may be amended or withdrawn at any time.

8. Third-party links

The Site links to third-party websites, including our LinkedIn page and the websites of Group companies. These links are provided for convenience; we do not control and are not responsible for the content, availability or practices of third-party sites, and a link does not imply endorsement.

9. Disclaimer of warranties

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Wardena disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure or free of viruses or other harmful components.

10. Limitation of liability

To the fullest extent permitted by law, Wardena, its subsidiaries, affiliates, directors, officers and employees shall not be liable for any indirect, incidental, consequential, special or punitive damages — including loss of profits, data, goodwill or business opportunity — arising out of or in connection with your use of, or inability to use, the Site or its content, even if advised of the possibility of such damages. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

11. Indemnity

You agree to indemnify and hold harmless Wardena and its Group companies from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site.

12. Privacy

Your use of the Site is also governed by our Privacy Policy, which explains how we collect, use and protect personal information.

13. Governing law and jurisdiction

These Terms are governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka. Any dispute arising out of or in connection with these Terms or the Site shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.

14. General provisions

We may update these Terms at any time by posting a revised version on this page with an updated effective date; continued use of the Site constitutes acceptance. If any provision is found unenforceable, the remaining provisions remain in full force. Our failure to enforce any provision is not a waiver of it. These Terms, together with the Privacy Policy, constitute the entire agreement between you and Wardena regarding use of the Site.
